42 LEAGUE CONSTITUTION PART 1 1. Adoption of the Constitution The League and its assets will be administered and managed in accordance with Parts 1 and 2 of this constitution. Playing conditions for participation will be administered and managed in accordance with Part 3 of this constitution. 2. Name The League’s name is the Sheffield Alliance Midweek Cricket League (and in this document is called the “League”). 3. Objects The League’s objects (“the objects”) are: • The promotion of healthy recreation in particular by the provision of providing facilities for the playing of Cricket • To promote the League within Sheffield and surrounding areas in the name of Cricket. • To ensure a duty of care to all members of the League. • To provide all of its services in a way that is fair to everyone. • To ensure that all present and future members receive fair and equal treatment. • To co-operate with and support other League’s with similar purposes. • To do anything which is lawful and necessary to achieve the purposes. 4. Application of Income and Assets (1) The income and assets of the “League” shall be applied solely towards the promotion of the objects. a. A member of the Management Committee is entitled to be reimbursed from the assets of the League or may pay out of such assets reasonable expenses properly incurred by him or her when acting on behalf the League b. A member of the Management Committee may benefit from indemnity insurance purchased at the League’s expense. (2) None of the income or property of the League may be paid or transferred directly or indirectly by way of dividend bonus or otherwise by way of profit to any member of the League. This does not prevent a member who is not also a member of the Management Committee from receiving: a. a benefit from the League in the capacity of a beneficiary of the League b. reasonable and proper renumeration of any goods or services supplied to the League. 5. Benefits and payments to League Officers and connected payments (1) General Provisions No Management Committee member or connected person may: a. Buy or receive goods or services from the League on terms preferential to those applicable to members of the public; b. Sell goods, service or any interest in land to the League c. Be employed by League d. Receive any other financial benefits from the League (2) Payments and Expenses to League Officers The League may, by means of a vote at each Annual General Meeting, pay a fixed sum honorarium to a League Officer to cover the following items: a. Mileage to and from any League meetings or other meetings on behalf of the League that occur within a 20-mile radius of the Officers home address b. Fixed Line and Mobile Line rental and Telephone calls on behalf of the League c. Broadband costs d. Other small administrative items such as paper, pens as agreed by the Management Committee The Honorarium shall be not exceed £300 per person for each financial year and the total amount shall never exceed more than 2/3 of the League’s income for the previous year or £1800 whichever is the lowest. Other out of pocket expenses such as postage, additional mileage and other purchases may be reimbursed at the total discretion of the League Management Committee in accordance with Clause 4 sub-clause 1a. 6. Dissolution (1) If the members resolve to dissolve the League the trustees will remain in office as League Trustees and be responsible for winding up the affairs of the League in accordance with this clause.
