45 15. Votes (1) Each organisation and Management Committee member shall have one vote at an annual general meeting and special meetings but if there is an equality of votes the person who is chairing the meeting shall have a casting vote in addition to any other vote he or she may have. (2) A resolution in writing signed by each organisation Secretary who would have been entitled to vote upon it had it been proposed at a general meeting shall be effective. It may comprise of several copies each signed by or on behalf of one more Secretary. 16. Representatives (1) Any organisation that is a member of the League may nominate any person to act as its representative at any meeting of the League, (2) If the nominated representative is not the Secretary of that Organisation, then the Organisation must give written notice to the League of the name of its representative. The nominee shall not be entitled to represent the organisation at any meeting unless the notice has been received by the League. The nominee may continue to represent the organisation until written notice to the contrary is received by the League. (3) Any notice given to the League shall be conclusive evidence that the nominee is entitled to represent the organisation or that his or her authority has been revoked. The League shall not be required to consider whether the nominee has been properly appointed by the organisation. 17. Officers and Trustees (1) The League and its assets shall be managed and administered by a Committee comprising the officers and other members elected in accordance with this constitution. The officers and other members of the Committee shall be the Management Committee and in this constitution are together called the Management Committee. (2) The League shall have the following officers: a. A President b. A Chair c. A Secretary d. A Treasurer e. A Publicity Officer f. An Umpires’ Appointment Secretary g. A Child Welfare Officer (3) The Management Committee shall also consist of a maximum of eight other members as nominated annually at a General Meeting. (4) The Management Committee does not need to be a nominated representative of an organisation and will be entitled to one vote each on any matter regarding the League. (5) No one may be appointed a Management Committee member if he or she would be disqualified from acting under the provisions of clause 20. (6) A Management Committee member may not appoint anyone to act on his or her behalf at a meeting of the Management Committee. (7) The number of trustees shall not be more than four and not less than two (unless otherwise determined by a resolution of the League in general meeting). (8) The trustees shall hold the positions as officers of the League one of whom must be the Treasurer. (9) The trustees shall ensure that all times the activities of the Management Committee and Sub-Committees shall be in accordance with the primary objects of the League as written in Clause 3. (10) The appointment of Trustees shall be made by the Management Committee. (11) A minimum of two of the trustees shall form signatories on the League bank accounts. 18. Appointment of Management Committee (1) The League in general meeting shall elect the officers and the other Management Committee members. (2) The Management Committee may appoint any person who is willing to act as a Management Committee member. Subject to sub-clause 5(b) of this clause, they may also appoint Management Committee members to act as officers. (3) Each of the Management Committee members shall retire with effect from the conclusion of the annual general meeting next after his or her appointment but shall be eligible for re-election at that annual general meeting. (4) No-one may be elected as a Management Committee member at any annual general meeting unless prior to the meeting the League is given notice that: a. Is signed by a member entitled to vote at the meeting b. States the member’s intention to propose the appointment of a person as a Management Committee member or as an officer c. Is signed by the person who is to be proposed to show his or her willingness to be appointed. (5) a.
